Job Description

We have a great temp-hire opportunity for a Corporate Paralegal to work at our client's site in Downtown LA. Our client is a non-profit agency that supports health, housing and economic development in the city of Los Angeles.  If this position matches your experience, please apply today!

The Corporate Paralegal will provide support to the General Counsel in the following areas: contract drafting, review and maintenance, legal database oversight and maintenance, corporate compliance and governance matters, and administrative assistance with issues and projects under the responsibility of the General Counsel’s office.
Responsibilities will also include activities to help improve the efficiency of the Legal department and contain costs, including: (i) project management of ad hoc projects handled by the General Counsel office, (ii) supporting the
budget and quarterly accruals process, (iii) performing data analytics and reviewing and running reports; (iv) supporting legal operations work streams and technologies; and (v) substantive work on continuous improvement efforts working with in-house and outside vendors.

Hours: On-site 8:30-5:00 Monday-Friday
Pay: $49.00/hr to $51.00/hr
Parking: Reimbursed
Length: Temp-hire

Legal Understanding and Support:
Ability to support internal legal counsel with support on a wide range of legal issues, including governance, asset management, charitable gifts, corporate compliance and risk management.
Ability to understand and provide support to internal legal counsel on compliance with relevant laws,
regulations, and industry standards affecting the organization’s operations.

Contracts and Agreements:
Review, assist in drafting and managing a wide range of grant, consulting, business and administration contacts, agreements and other legal documents concerning the Foundation’s work, including complex gift transactions.
Collect and arrange data from committees and departments for internal and external reports and inquiries.
Works as a member of interdepartmental teams to complete applications for the Company.

Governance and Compliance:
Assist in oversight of corporate governance matters, including maintaining corporate records and ensuring compliance with applicable laws and regulations.
Assist in developing, implementing, and maintaining compliance systems and processes for tracking legal matters to ensure the organization’s adherence to legal and regulation obligations.
Assist in identifying potential legal and regulatory risks and developing mitigation strategies.
Assist in the administration of the Board and Committee meeting process.

Litigation and Claims Management:
Serve as liaison with outside counsel and legal consultants.
Review, code and process legal bills from outside counsel
Develop and implement reports for monitoring outside legal spending.
Handle requests for information and documents, review and transmit information and documents to outside counsel and company personnel.

Project Management:
 Serve as project manager of special projects being handled by the General Counsel’s office.
Event Support: Coordinate and work collaboratively with the Executive Office team to plan and coordinate all board and committee meetings. Provides support for key internal briefings, relationship-building, and stewardship events as needed.

Education
Bachelor’s Degree Bachelor’s degree required. Paralegal degree or certification or
actual experience working as a corporate paralegal.

Experience
3-5 years experience in business and corporate law.
Excellent analytical and communication skills
Background or training in project management.
Demonstrated ability to understand legal and manage
complex legal issues.
 Experience working collaboratively with senior leadership
and boards of directors

  • Board administration and policy analysis

  • Management of political information and strategy around analysis of federal policy.l including interface with consultants and outside law firms
  • Policy creation, process creation and amendment
  • Intake and liquidation of complex assets gifted to the Foundation
